網銀條款-台灣用戶 (For Taiwan Users)

第一條 適用範圍

本服務合約係立合約書人(以下簡稱「立約人」)與台新國際商業銀行(以下簡稱「貴行」)間就企業(法人)網路銀行服務(以下簡稱「本服務」)之使用及提供,包括現有及爾後新增之服務項目或功能,所訂定之一般性共通約定,除個別契約另有規定外,悉依本服務合約之約定。

第二條 名詞定義

一、企業(法人)網路銀行服務:指立約人使用電腦設備經由網際網路與貴行服務系統連線,無須親赴貴行櫃台,即可直接取得貴行所提供之各項金融服務。

二、用戶代碼:指貴行對申請本服務之立約人所編定之英文或數字,以供貴行服務系統辨識立約人身份之用。

三、管理者:指立約人就本服務之使用所指派負責於 貴行服務系統上設定系統使用者之人員。

四、使用者:指立約人為使用本服務所授權得經由其電腦與 貴行服務系統連線以傳送或接收電子訊息之人員。

五、使用者代碼:指立約人對每一系統使用者分別編定並於 貴行服務系統上設定之英文或數字,以供 貴行服務系統辨識使用者身份之用。

六、電子訊息:指立約人與 貴行間經由電腦或系統及網路連線互相傳遞之訊息。

七、數位簽章:指將電子文件以數學演算法或其他方式運算為一定長度之數位資料,並以發送人之私密金鑰對其加密,製作成之電子簽章,用以辨識及確認電子文件發送人之身分、資格及電子文件之真偽。

八、私密金鑰:指一組具有配對關係之數位資料中,由簽章製作者(即簽署人)保有,並用於對電子訊息解密及製作數位簽章之數位資料。

九、公開金鑰:指一組具有配對關係之數位資料中,對外公開,並用以對電子訊息加密、或驗證簽署者身份及數位簽章真偽之數位資料。

十、動態密碼:其運作模式是由動態密碼機內部晶片透過特殊演算法計算出一組動態密碼,每一組數字都是唯一的,不會重覆使用。

十一、憑證:指由憑證機構以數位簽章方式簽署之資料訊息,用以確認憑證申請者之身份,並證明其確實擁有一組相對應之公開金鑰及私密金鑰之數位式證明。

十二、憑證機構:指簽發憑證之機關、法人。

十三、公開金鑰架構:是電子認證應用的架構,由各個公開金鑰架構中之憑證機構簽發憑證,透過其所認定之憑證在網路上確認使用者身份。

第三條 網頁之確認

立約人使用網路銀行前,應先確認網路銀行正確之網址「https://www.b2bank.com.tw」,才使用網路銀行服務;如有疑問,可依系統公告之服務電話致電 貴行詢問。 貴行應隨時注意有無偽造之網頁。

第四條 連線所使用之網路

貴行及立約人同意使用約定之網路或網際網路進行電子訊息傳輸。

貴行及立約人應分別就各項權利義務關係與各該網路業者簽訂網路服務契約,並各自負擔網路使用之費用。

第五條 授權及使用

立約人應自行指定一名或二名管理者,負責於 貴行服務系統上設定(新增、修改及刪除)系統使用者資料。管理者設定使用者資料之電子訊息須經數位簽章或動態密碼驗證後始生效力,並視為立約人對每一系統使用者之正式授權。

立約人使用本服務須由系統使用者於 貴行指定網站以正確之用戶代碼、使用者代碼及密碼成功簽入後,並依 貴行網站上設計之操作介面執行電子訊息之傳送或接收。若立約人為特定服務項目所傳送之電子訊息須經過編輯、審核及放行驗證程序時,各相關系統使用者須依其權限先後執行操作後, 貴行始提供該服務。 貴行應依立約人於 貴行服務系統上已設定生效之使用者資料控管每一系統使用者之使用權限。

系統使用者經由電腦及網路與 貴行服務系統連線並傳送或接收電子訊息均視為立約人同意之行為。

第六條 電子訊息之傳送及接收

立約人所傳送之任何電子訊息,若無法辨識其內容、不符 貴行要求格式、非經 貴行指定方式或未完成所需程序時,則視為自始未傳送。但 貴行可確定電子訊息來源為立約人時,應將傳送有誤之情形通知立約人。

若立約人傳送之電子訊息須經數位簽章或動態密碼驗證後始生效力者, 貴行接收該電子訊息後,應對數位簽章或動態密碼之正確性進行檢核,數位簽章或動態密碼不符者則視為未傳送, 貴行並應將電子訊息檢核或處理結果回應立約人。

第七條 電子訊息之不執行

貴行針對下列情況,得不執行任何接收之電子訊息:

一、有相當理由懷疑電子訊息之真實性或所指定事項之正確性者。

二、貴行依據電子訊息處理,有違反相關法律、命令或規定之虞者。

三、貴行無法於立約人帳戶扣取依電子訊息所示及 貴行所訂立約人應支付之足額款項。

四、立約人有第二十二條所述情形之一者。

貴行不執行前項電子訊息者,應將不執行之結果回應立約人,立約人受通知後得以電話向 貴行確認。

第八條 電子訊息錯誤之處理

立約人使用本服務,如其電子訊息因不可歸責於 貴行之事由而發生錯誤時, 貴行不負更正責任,惟 貴行同意提供必要協助以更正或補救。但因可歸責於 貴行之事由而造成電子訊息錯誤時, 貴行應負責更正,並同時以電子訊息或立約人及 貴行約定之方式通知立約人。

第九條 電子訊息之效力

立約人與 貴行均同意使用本服務所傳送及接收之電子訊息與書面文件具有同等效力,惟若電子訊息屬於立約人與 貴行間之交易文件時,該電子訊息須經數位簽章或動態密碼驗證後始生效力。雙方就所生之任何糾紛,於審判、仲裁、調解或其他法定爭議處理程序中,均不得主張該電子訊息不具書面或簽名要件而歸於無效或不成立。

雙方同意於前項之審判、仲裁、調解或其他法定爭議處理程序中,相關之電子訊息推定以 貴行端服務系統內保存之紀錄證明之。立約人及處理爭議之相關單位如有調閱前揭資料之需求時, 貴行不得以任何理由拒絕提供。

第十條 服務時間

本服務除因 貴行服務系統暫停開放外,原則上24小時/365天提供立約人使用,但若立約人使用之服務項目係屬於交易性質者,立約人之電子訊息所指定之交易日須為 貴行營業日,且電子訊息之傳送除特定交易項目外,原則上須於交易日當日銀行營業時間結束前完成。 貴行對前項電子訊息傳送時限得依各項業務需要調整之。

若電子訊息所指示之交易日非 貴行營業日或傳送至 貴行時已逾作業截止時間, 貴行得不處理該電子訊息或延至次一營業日處理。 貴行應將對超過作業截止時間之電子訊息不處理或延至次一營業日處理之結果回應立約人。

電子訊息係由銀行電腦自動處理,立約人發出電子訊息傳送至 貴行後即不得撤回、撤銷或修改。但未到期之預約交易在 貴行規定之期限內,得撤回、撤銷或修改。

第十一條 服務費用

立約人同意使用本服務將依與 貴行就各相關業務議定之收費標準繳納有關服務費及其他費用,若無議定則依 貴行公告之收費標準,並授權 貴行得逕自立約人帳戶內自動扣繳,若立約人傳送之電子訊息內已註明扣款帳戶時,則 貴行應自該帳戶逐次扣繳。前項收費標準於訂約後如有調整, 貴行應於調整日三十日前於銀行之網站上明顯處公告其內容,同時告知立約人得於該期間內終止合約,逾期未終止者,推定承認該調整。立約人應支付 貴行之所有費用均不含任何稅捐,若有稅捐,立約人應另行支付之,並授權 貴行逕自上述帳戶內自動扣繳。

第十二條 客戶軟硬體安裝與風險

立約人申請使用本服務合約之服務項目,應自行安裝所需之電腦軟體、硬體,以及其他與安全相關之設備。安裝所需之費用及風險,由立約人自行負擔。

第一項軟硬體設備及相關文件如係由 貴行所提供, 貴行僅同意立約人於約定服務範圍內使用,不得將之轉讓、轉借或以任何方式交付第三人。

因立約人之行為侵害 貴行或第三人之智慧財產權或其他權利、利益,或因不當之操作使用致生損害時,應自負其責任。

立約人如因電腦操作需要而安裝其它軟硬體,有與銀行所提供之軟硬體設備併用之必要者,應遵守 貴行所提供安裝之相關資料,並自行負擔其費用及風險。

第十三條 立約人連線與責任

貴行與立約人有特別約定者,必須與 貴行為必要之測試後,始得連線。立約人對 貴行所提供之使用者代號、密碼、憑證、軟硬體及相關文件,應負保管之責。立約人之管理者輸入前項密碼連續錯誤達四次時, 貴行電腦即自動停止立約人使用本契約之服務。立約人如擬恢復使用,應重新辦理申請手續。立約人並應於契約終止時,即返還 貴行所提供之設備及相關文件。

第十四條 資金移轉及服務範圍限制

立約人申請涉及帳戶資金移轉之服務項目者,須以書面與 貴行約定其可轉出帳戶,並得以書面約定可轉入帳戶及個別可轉出帳戶之每日轉出額度及所有可轉出帳戶之每日轉出總額度等項目。 貴行對於立約人使用本服務為帳戶資金移轉時,除下列情形外,須悉依立約人之約定辦理。

一、立約人約定之轉出帳戶若為開立於其他銀行之帳戶者,則該設帳銀行須為金融EDI共用系統之參加銀行,立約人須自行向該設帳銀行提出申請後始可使用,且該帳戶之轉出不納入轉出額度計算範圍。

二、立約人進行帳戶資金移轉若屬薪資轉帳、媒體整批匯款、台灣票據交換所代付或繳款類交易時,該次轉出金額不列入該轉出帳戶每日轉出限額計算,但仍列入該立約人全部可轉出帳戶每日轉出總額度之計算範圍。

三、立約人如為薪資轉帳或媒體整批匯款、台灣票據交換所代付之交易時,則該交易之轉入帳戶不受立約人轉入帳戶約定之限制。

四、立約人如申請台灣票據交換所代付機制,則付款檔案需於約定入帳日前至少兩個營業日之前送交 貴行, 貴行應依照台灣票據交換所規定之媒體交換時程,於約定入帳日前一營業日將檔案提出辦理提示交換,所支付之款項入帳日期為提示交換日之次一營業日。

五、貴行得依需要對立約人之帳戶資金移轉交易另訂每筆轉出最高限額及每日轉出總額度限制。立約人約定限額不得超過 貴行所訂之限額。

六、立約人若約定以動態密碼機放行,一律須先向 貴行約定可轉入帳號,或當日、單筆可轉出金額,如立約人未申請可轉出金額限制,則依 貴行所訂定之限額限制之。立約人可依 貴行所設定得使用動態密碼驗證之交易範圍,申請所需執行動態密碼放行之作業。

第十五條 交易核對

立約人應於使用本服務後核對其結果有無錯誤。如有不符,應於使用完成日後四十五日內通知 貴行查明。 貴行收到通知,應即進行調查,並於通知到達 貴行之日起三十日內將調查之情形或結果覆知立約人。

第十六條 安全防護及責任

貴行應建立完善之安控機制以確保電子訊息傳送之安全,並防止非法進入系統、竊取、竄改或毀損交易記錄及資料。

貴行及立約人應確保所傳送至對方之電子訊息均經合法授權。立約人應確保所指派之每一系統使用者在任何時候均不會洩漏其使用者代碼及密碼予任何第三人,包括其他使用者,且並應確保憑證或動態密碼機使用者妥善保管動態密碼機或儲存該憑證之媒體或載具及憑證啟動密碼。立約人若發現有第三人冒用或盜用任一使用者代碼及密碼、動態密碼機或憑證及憑證啟動密碼,或有其他任何未經合法授權之情形,應立即以電話或書面通知 貴行停止本服務並採取防範之措施。 貴行接受通知前,對第三人使用該服務已發生之效力,仍應負責,惟 貴行能證明立約人有故意或重大過失者,不在此限。

立約人為防止第三人非法使用,除前項保密及保管責任外,每一系統使用者應避免選用易於猜測之密碼或在無法確信安全性之電腦上為操作,並應定期更改其使用者密碼。

第十七條 保密義務

雙方應確保所接收對方之電子訊息或因使用或提供本服務而取得對方之資料,不洩漏予第三人,亦不可使用於與本服務無關之目的,但為提供或使用本服務所必要者不在此限。若因提供或使用本服務所必要而告知第三人時,應使第三人負保密義務,且就該第三人之行為負連帶責任。

立約人依本合約委託 貴行辦理之事項,立約人應自行對其繳款客戶告知:在立約人使用 貴行企業(法人)。網路銀行服務之目的範圍內,立約人會將立約人繳款客戶之個人資料提供予 貴行。

第十八條 損害賠償責任

雙方同意使用本服務傳送或接收電子訊息,因可歸責於任一方之事由致有遲延、遺漏或錯誤之情事,而致他方受有損害時,該方應負賠償責任。但 貴行或其履行輔助人有故意或重大過失時,仍應就立約人所失利益負賠償責任。

第三人破解使用電腦之保護措施或利用電腦系統之漏洞爭議,由 貴行就該事實不存在負舉證責任。駭客入侵銀行之電腦或相關設備者所發生之損害,由 貴行負擔。前項賠償之範圍限於受損害一方之積極損害部分(不含所失利益)及其利息部分。

第十九條 不可抗力

立約人與 貴行任一方於發生不可抗力之情事時,對於使用本服務所生義務之不履行或延遲履行均不視為違約,亦無須負任何賠償責任。此外,如非不可抗力之情事,任一方致他方受有損害時,應負損害賠償責任。

第二十條 紀錄保存

貴行應保存所有交易指示類電子訊息之紀錄。 貴行對紀錄之保存應盡善良管理人之注意義務,以確保紀錄之真實性及完整性,且保存期限至少為五年。

第二十一條 行動企網服務

一、行動企網服務(企業網路銀行行動應用程式mobile application;下稱企業網銀APP)指銀行於iOS平台(Apple App Store)或Android平台(Google Play)上提供「台新企業網銀」APP軟體供立約人所屬使用者可於其行動裝置或其他可上網之設備下載,並經裝置綁定設定程序後,即可直接取得貴行所提供之行動企網服務,同一使用者至多綁定五個不同之行動裝置或其他可上網之行動設備。

二、企業網銀APP為本服務功能之擴充延伸,立約人使用相同的使用者代號與密碼登入即可使用,故使用方式、業務規範等均依本服務合約書辦理。

三、企業網銀APP密碼登入錯誤次數與企業金融網服務合併計算。

四、立約人所屬使用者須由貴行官方網頁之連結(https://www.taishinbank.com.tw/TS/TS04/TS0403/TS040303/index.htm)、貴行企業網路銀行網頁之連結(https://www.b2bank.com.tw)或貴行於iOS平台(Apple App Store)或Android平台(Google Play)上所提供之「台新企業網銀」APP軟體下載本項服務,若立約人所屬使用者非經由上述貴行網頁之連結或軟體使用行動企網服務,造成資料外洩、喪失、錯誤、遭人竄改或其他損害,貴行不負任何責任,惟貴行同意提供必要之協助。

五、立約人所屬使用者使用本項服務前,應先於其所使用之行動裝置或其他可上網之設備安裝防毒軟體,以避免公司/個人資料因上述裝置或設備遭惡意程式破解而導致資料外洩。

第二十二條 服務終止

立約人得隨時終止使用本服務,但應至少於終止生效日前一日以書面文件通知 貴行。 貴行收到通知後應即註銷立約人之用戶代碼。

貴行欲終止提供本服務時,須於終止生效日三十日前以書面通知客戶。但立約人若有下列情事之一者, 貴行得隨時通知並終止提供客戶本服務:

一、立約人未經 貴行同意,擅自將本服務之權利義務轉讓第三人者。

二、立約人依破產法自行或遭他人聲請和解、聲請宣告破產,或依公司法規定自行或遭他人聲請公司重整、解散、清算或遭撤銷登記。

三、立約人違反本服務合約第十六、十七條者。

四、立約人違反本服務合約之其他約定,經催告改善或限期請求履行未果者。

五、立約人於貴行所設立之所有帳戶均已結清之情形者。

立約人於本服務終止生效日前已傳送但尚未處理之電子訊息於服務終止生效後即失去效力。

第二十三條 防制洗錢及打擊資恐

貴行於發現立約人、其高階管理人員(包括但不限於負責人/代表人、有權簽章人、董事或相當於前述高階管理人員之人)及其主要股東或實質受益人(以下稱關聯人)為受經濟制裁、外國政府或國際洗錢防制組織認定或追查之恐怖分子或團體者之時,得逕行暫時停止本服務合約所載各項交易與業務關係而無須另行通知立約人; 貴行並得隨時通知並終止本服務合約。

貴行於定期或不定期審查立約人或關聯人身分作業或認為必要時(包括但不限於:懷疑客戶涉及非法活動、疑似洗錢、資助恐怖主義活動、或媒體報導涉及違法之特殊案件等),得要求立約人於接獲 貴行通知後10日(含)內提供審查所需之必要立約人或關聯人資料、或對交易性質與目的或資金來源進行說明,立約人逾期仍不履行者, 貴行得以書面通知隨時暫時停止本服務合約所載之各項交易與業務關係、或隨時終止本服務合約。

其他有關帳戶相關事宜,悉依存款總約定書辦理。

第二十四條 準據法及管轄法院

本服務合約之解釋,適用中華民國法律;因本服務所生爭議而涉訟者,以台灣台北地方法院為第一審管轄法院。但不得排除消費者保護法第四十七條或民事訴訟法第四百三十六條之九小額訴訟管轄法院之適用。

第二十五條 未盡事宜

本合約如有未盡事宜,立約人同意 貴行得依相關法令之規定辦理,如須變更內容者, 貴行應將變更內容於生效日三十日前於 貴行網站明顯處公告之,並應載明立約人得於該期間內依第二十二條約定終止本合約,逾期未終止者,視為立約人同意該調整。經立約人及 貴行雙方協議後,亦得將未盡事宜或變更內容以書面方式予以補充或修訂。

第二十六條 標題

本服務合約各條標題,僅為查閱方便而設,不影響契約有關條款之解釋、說明及瞭解。

敬請細閱本條款及條件並確保閣下明白本條款及條件。

1. 定義

1.1 在本條款及條件中,除文意另有所指外,以下用語應具有以下涵義:

「獲授權人士」就客戶而言,指不時獲客戶授權接達及使用互聯網服務及 發出指示的任何人士;

「銀行」指台新國際商業銀行,而銀行一詞應包括其繼承人及受讓人;

「客戶」指任何已同意本條款及條件的人士;

「數碼證書」就任何客戶而言,指銀行向該客戶所提供的數碼證書, (不論是儲存在識別鎖匙(Ikey)、智能卡或其他之內), 目的在於確認該客戶的身分或其他重要特徵並且以使該客戶得以取得接達 互聯網服務及/或發出指示;

「動態密碼」指一次性密碼,其運作模式是由動態密碼機內部晶片透過特殊演算法計算出一組動態密碼,每一組數字都是唯一的,不會重覆使用。

「香港」指中華人民共和國香港特別行政區;

「指示」指透過互聯網由客戶所發出並已被銀行接收到的任何要求或指示

「互聯網服務」指由銀行透過互聯網或銀行的網站不時提供的網上銀行服務;

「動態密碼機」指產生動態密碼的機器。

「《個人資料(私隱)條例》通知」指銀行不時發給其客戶及其他人士的銀 行[關於《個人資料(私隱)條例》致客戶及其他人士的通知];

「私人密碼」指由銀行所指定及/或由客戶所選擇,准許客戶接達互聯網服 務及/或發出指示的任何保密密碼、短語、代號或號碼或任何其他標識 (包括任何使用者名稱);

「本條款及條件」指本網上銀行服務條款及條件;

「交易」指因執行指示而產生的任何交易;

「使用者名稱」指不論由銀行或客戶所指定,有關使用互聯網服務的使用 者的簡名。

1.2 除文意另有所指外:

(a) 表示一種性別的詞語包括其他性別;

(b) 表示單數的詞語應包括複數,反之亦然;

(c) 對某條款的提述是對本條款及條件內的條款的提述;

(d) 對文件﹝包括本條款及條件﹞的提述包括不時經修訂、補充及取代的該等文件;

(e) 條及其他標題只為易於參考而設,不應影響本條款及條件的釋義;

(f) 「人」或「人士」一詞包括任何個人、公司、商行、合夥經營、聯營、協會、獨資經營或其他屬法團或不屬法團的實體及其法定代表、遺囑執行人、遺產管理人、委員會、接管人或合法代表該人士行事的其他人士;

(g) 「包括」指「包括但不限於」。

2. 互聯網服務

2.1 本條款及條件規管客戶對互聯網服務的使用。

2.2 除本條款及條件外,銀行的【賬戶一般條款及條件】和不時規管銀行的服務及產品的其他條款及條件亦應適用於互聯網服務。本條款及條件、【賬戶一般條款及條件】和規管銀行的服務及產品的該等其他條款及條件之間如有任何抵觸,應以本條款及條件為準。

2.3 互聯網服務的提供應按銀行的獨有酌情權決定。只在銀行以書面通知客戶有關銀行接納客戶對互聯網服務的申請後,互聯網服務方可被提供客戶使用。客戶可透過使用私人密碼及/或動態密碼及/或數碼證書,接達互聯網服務及向銀行發出指示。

2.4 客戶應自費維持合適的電腦設備、軟件及與互聯網的連通以取得接達互聯網服務。因客戶使用互聯網服務而引致的一切電話費、互聯網服務費及其他費用均須由客戶負責。

2.5 銀行可透過互聯網服務提供銀行不時決定的設施及服務。銀行可就該等設施或服務訂定額外條件或條款。該等額外條件或條款應在銀行按照第17條將其告知客戶後才生效。

2.6 銀行可按其酌情權並且不須給予事先通知,撤銷、暫停或終止客戶使用互聯網服務的權利或拒絕按照向銀行發出的任何指示行事,但銀行將會在之後合理時

間內,就該撤銷、暫停、終止或拒絕向客戶提供理由。

2.7 客戶可委任一名或以上獲授權人士代表其接達及使用互聯網服務,並且(如客戶已委任獲授權人士)應促使該獲授權人士在各方面均遵守本條款及條件。

3. 指示

3.1 客戶要求及授權銀行倚據不時由客戶或其獲授權人士或看似由客戶或其獲授權人士透過使用互聯網服務不時給予的任何指示並且按照該指示行事。銀行有權將一切指示視作有效及經客戶正式授權處理,而銀行應沒有責任查核發出或看似發出該等指示的人士的授權或身分,或該等指示的真確性。

3.2 一切指示一經發出則對客戶具約束力。

3.3 客戶須對指示的準確性及完整性負責,並須確保指示會達致客戶預期的目的。如指示不準確或不完整,銀行無須對任何損失或延誤負責。

3.4 如客戶要求銀行取消或修改任何指示,銀行將會盡一切合理努力以符合客戶的要求。然而,如銀行合理地認為接獲該要求的時間或情況令銀行無法符合該指示,則銀行無須為未能取消或修改指示負責。

3.5 在不影響笫2.6條的原則下,如出現以下情況,銀行可按其絕對酌情權,拒絕按照或延遲按照指示行事,而無須負上責任:

(a) 發出或看似發出指示的人士未能出示或引述銀行所規定的資料,包括出示有關的數碼證書及/或引述有關的私人密碼及/或動態密碼;

(b) 該項要求或指示如被執行,會導致超逾銀行對客戶一般設定的或由客戶所訂定的某項限額;

(c) 銀行知道或懷疑就客戶一個或以上賬戶的運作或一般互聯網服務而言在保安上遭受破壞;或

(d) 銀行已依據第14條終止本條款及條件。

3.6 如銀行依據第3.5條而不按照或延遲按照指示行事,則銀行會在合理切實可行情況下盡快通知客戶有關該不行事或延遲行事。

3.7 客戶知悉,指示未必時刻可在其被發出時即時被處理及被執行。即使互聯網服務是在網上提供,並且可以於正常銀行辦公時間以外接達,但某些指示的處理需時,及某些指示只可於正常銀行辦公時間內被處理。

3.8 銀行有權將按照指示而已支付或引致的任何款項,從客戶的賬戶扣除,不論賬戶位於何處。

4. 保安

4.1 客戶應時刻將(並且應促使其獲授權人士時刻將)其數碼證書與動機密碼機安全保管及其私人密碼保密並且應就其數碼證書、動態密碼機或私人密碼的任何意外、故意或非故意使用或披露負責。客戶應本著摯誠行事並且以應有的一切謹慎和專注以防止其數碼證書及/或動態密碼機及/或私人密碼被遺失及/或被任何未獲授權第三者使用。

4.2 特別而言,客戶:

(a) 不應向任何人士披露其私人密碼或除客戶及其獲授權人士外,不應容許任何人士使用其數碼證書及/或私人密碼及/或動態密碼機;

(b) 應在接獲銀行發出的最初私人密碼通知後,立即按照銀行的指示,將由銀行所提供的私人密碼改為自選私人密碼;

(c) 應記下私人密碼,並立即銷毀銀行有關私人密碼的任何通知;

(d) 切勿寫下或以其他方法記錄其私人密碼,致使其可由未獲客戶授權的其他人士得悉及使用;

(e) 應定期更改私人密碼;

(f) 應避免使用容易被取得的個人資料(例如:客戶的私人電話號碼、出生日期、身分證明文件編號或客戶姓名中可識別的部分)作為私人密碼;

(g) 應避免採用與使用其他類似服務的私人密碼相同或相似的機密識別代碼;

(h) 應採取適當措施,以防止其他人士未獲授權取得其數碼證書、動態密碼機及私人密碼(例如:確保其動態密碼機存放於安全的地方及其私人密碼不被任何人士察看或不被閉路電視監察,並必須避免任由他人識別客戶或獲授權人士以其私人密碼及/或數碼證書登入系統時的按鍵);

(i) 應在客戶或獲授權人士相信有未獲授權第三者可能知道或已取得其私人密碼及/或數碼證書及/或動態密碼機或任何數碼證書或動態密碼機被遺失時,立即通知銀行;及

(j) 切勿將其私人密碼記錄於任何可自動保存私人密碼的軟件(例如:互聯網瀏覽器上的任何指示符號或「保存密碼」功能或類似功能)。

4.3 客戶(不論是親自或透過獲授權人士)於登入互聯網服務或銀行的網站之後,未經首先退出互聯網服務或銀行的網站,客戶在任何時間均不得離開客戶已從而接達互聯網服務或銀行網站的互聯網終端機,或任由其他人士使用該互聯網終端機。客戶將要負責確保每位獲授權人士在每次處理程序結束時,均已退出互聯網服務或銀行的網站。

4.4 除第9條另有規定外,客戶同意,客戶應對涉及由不論是否獲客戶授權的任何人士使用其數碼證書及/或動態密碼機及/或私人密碼的一切交易負責。客戶確認使用數碼證書及/或動態密碼機及/或私人密碼存有被其他人士濫用或用作未獲授權用途的風險並且同意承擔一切該等風險。

4.5 客戶應在知悉或懷疑

(i) 其數碼証書及/或動態密碼及/或私人密碼遭遺失或被洩露或被披露予任何未獲授權人士或以其他方式被任何未獲授權人士取得後或

(ii) 其數碼證書及/或動態密碼機及/或私人密碼被用作發出任何未獲授權指示或被用作進行任何未獲授權交易後,立即通知銀行。該通知應由客戶親身向銀行申報或透過致電銀行不時訂明的電話號碼作出。客戶同意即時遵從所有合理的要求,以協助銀行及/或警方追回任何損失或確定保安有否實際或潛在破壞。

4.6 任何數碼證書或私人密碼應維持有效,直至被客戶更改或被銀行取消為止。

4.7 如客戶懷疑任何獲授權人士本身對互聯網服務作出任何不當行為,或獲授權人士脫離客戶的業務或不再受僱於客戶或客戶決定撤銷獲授權人士接達互聯網服務的授權,客戶必須立即採取所有必需的措施,以確保該獲授權人士無法再使用互聯網服務。

4.8 客戶須對保留於客戶的電腦記憶體或客戶以其他方式保留或保留於任何獲授權人士的電腦記憶體或該獲授權人士以其他方式保留的任何數碼證書的保安負責。客戶及其獲授權人士必須確保數碼證書不能被任何未獲授權第三方取用或干擾。尤其是客戶必須確保如客戶的任何電腦在任何時間(即使屬暫時性)不再由客戶管有或客戶的獲授權人士管有,有關數碼證書必須由該電腦記憶體中移除。此外,客戶及任何獲授權人士均不得將任何數碼證書用於向銀行為識別客戶身分以外的其他用途,亦不得把任何數碼證書傳送或以其他方式發送予銀行以外的任何其他人士。

4.9 客戶同意客戶須對與互聯網服務有關的任何瀏覽器的性能及保安負全責,包括客戶應盡快採用由該等瀏覽器供應商不時發出或建議的所有保安修正檔案及其他保安措施。

4.10 受限於第9條,客戶同意就銀行根據本條款及條件執行任何指示所引致或就客戶未能遵循第4條下客戶的責任及本條款及條件的其他條文所引致銀行遭受的所有各類行動、法律程序、費用、損失及損害,確保對銀行作出彌償。

5. 資金轉賬

5.1 在銀行或在其他銀行所開立的賬戶之間或客戶的任何賬戶與客戶的另一賬戶或任何第三方的賬戶之間的資金轉賬指示,只在所有必需的安排均獲銀行設定及同意後方會被接受,並且該等指示須受制於銀行不時訂明的限制及條件。任何資金轉賬指示如在銀行所指定的處理資金轉賬每日截數時間之前作出,及銀行有合理機會按此行事的情況下,通常會在即日內處理,否則會在下一銀行營業日處理。

5.2 除非在相關賬戶中有足夠資金或可用信貸,否則,除銀行另行同意外,不得使用互聯網服務進行資金轉賬。如在相關賬戶中沒有足夠資金或可用信貸以填補有關付款的情況下進行轉賬,客戶應在被要求時立即向銀行償還超出可用資金或信貸的已透支或已轉賬款項,連同按銀行不時就在銀行的無安排透支信貸所收取的利率計算的利息。不時適用於未獲授權透支信貸安排的利率在由銀行不時公布的收費及/或利息表中指明,客戶可向銀行索取有關收費及/或利息表。

6. 服務中斷

在銀行認為有需要或適宜的情況下,銀行可無須通知及負上責任的情況下暫停根據互聯網服務向客戶提供的任何服務,包括:如懷疑保安受到破壞,或如銀行為進行維修或其他理由而需要暫停互聯網服務。如有必要暫停互聯網服務以便進行維修或在銀行認為有需要的情況下暫停互聯網服務,銀行將在合理切實情況下在合理時間內事先將有關暫停服務通知客戶。

7. 資料的準確性

銀行會致力確保通過互聯網服務向客戶提供的資料正確反映銀行電腦系統所儲存的資料,並確保由第三者所提供的資料,正確反映銀行自該第三者取得的資料。鑑於服務的性質及非銀行所能控制的情況,銀行並不給予保證或聲明,以示透過互聯網服務所提供的任何資料全屬正確或絕無錯漏。客戶確認客戶倚賴或使用該等資料,所涉風險將由客戶自行承擔。

8. 數碼證書

8.1 銀行授予客戶一項非獨有及不可轉讓的特許,可在客戶或客戶的獲授權人士的互聯網瀏覽器上使用數碼證書。數碼證書的所有權及權利均屬銀行所有,除根據本特許所授予客戶的特別權利之外,客戶及其任何獲授權人士均不會擁有數碼證書的任何權利,數碼證書的任何權利在任何時間均為銀行所擁有。

8.2 銀行將盡所有合理努力,確保銀行向客戶提供的任何數碼證書會在需要時發揮功能,使客戶獲准接達互聯網服務。如任何數碼證書未能正確操作,客戶或其獲授權人士將盡快通知本行。

8.3 銀行無須就任何數碼證書違反任何有關令人滿意品質、適銷性或適合作所述用途的隱含條款而承擔任何責任。

8.4 銀行無須就安裝及/或使用任何數碼證書而對客戶或其獲授權人士的電腦系統或其任何部分的性能所造成的任何損害或減少負上責任。

9. 客戶的責任及風險

9.1 銀行將採取合理地切實可行的措施,以確保其與互聯網服務連接的系統均安裝了足夠的保安設計,及以控制及管理在操作系統上的風險,並且已顧及可能不時適用於銀行的任何法律、規則、規例、指引、通函、行為守則及現行市場慣例。

9.2 如按銀行合理判斷客戶本身並無疏忽、欺詐或失責,客戶將無須就因電腦罪行或系統出錯所引致的任何未獲授權交易而令客戶蒙受的任何直接損失負責,而該電腦罪行或系統出錯乃若銀行按照第9.1條採取該等措施的話,是可透過風險控制及管理措施本應可以避免的。

9.3 如客戶沒有以欺詐方式或在疏忽下行事,並且已採取一切合理措施以符合在第4條中的保安條文及其在本條款及條件下的責任及義務,則客戶應不須對因未獲授權交易所引致其蒙受的任何直接損失負責。

9.4 如客戶之連絡人有變更聯繫方式(例如銀行通過郵寄或電郵與客戶聯繫的方式)、客戶之連絡人有變更聯繫地址(包括郵寄及電郵地址)或客戶之連絡人有變更電話號碼(手提電話號碼及其他聯繫電話號碼)之情事發生,請主動與銀行聯繫更新相關資料。

9.5 客戶確認及接受所有涉及通過互聯網服務發出的指示或指令的風險。該等風險,包括但不限於,客戶會被暴露於互聯網服務的硬件或軟件的不穩定性或失效的風險。由此,可能導致客戶的指示或指令無法正確執行或適時執行。特別是,客戶確認及接受,如果客戶通過互聯網服務發出指示或指令,由其於銀行開立的帳戶轉帳或支付款項到非預先於銀行登記的帳戶(下稱「非預先登記帳戶」),則於法律容許範圍內,銀行毋須承擔因未能根據客戶發出的指示或指令有效地將轉帳或支付交付到非預先登記帳戶而招致客戶的損失或損害。

10. 責任的限制

10.1 在不影響本條款及條件的其他條文的原則下及於法律容許的範圍內,銀行無須就下列各項向客戶或任何其他人士負責:

(a) 任何延遲按照或未能按照指示行事,除非該延遲按照或未能按照指示行事是由銀行的故意失責或疏忽所引致;

(b) 如果基於非銀行所能合理控制的理由(包括:任何個別電腦或電腦系統、終端機、電訊網絡、電力系統、互聯網服務提供者、軟件或提供接達互聯網或互聯網服務的任何其他系統的任何故障或失靈或互聯網服務的任何其他方面暫停),客戶無法取得接達銀行的網站或以其他方式操作及使用互聯網服務;

(c) 有關由客戶的設備、軟件或連通設施所引致在客戶的屏幕上的互聯網服務或其他資料的任何不正確陳述;

(d) 有關任何指示或任何指示中所載數據的任何未獲授權截取、訛誤或損失,除非以上各項是由銀行的故意失責或疏忽所引致;

(e) 因未獲授權使用任何數碼證書所引致的任何損失或損害,除非是由銀行的疏忽或故意失責所引致;

(f) 有關非銀行所能合理控制,影響銀行的網站或電腦系統的任何電腦病毒或類似問題;

(g) 有關任何未獲授權的「黑客」或其他電腦罪行入侵銀行的網站或電腦系統,而如銀行已採取合理措施以防禦該等入侵;

(h) 非銀行所能合理控制的任何其他的行為或情況;及

(i) 非銀行所能合理控制的任何服務提供者、財務機構或其他第三方的任何作為或不作為。

10.2 在不抵觸本條款及條件的其他條文的原則下,銀行就任何交易對客戶的法律責任(如有)應限於該交易的金額或客戶所蒙受的實際損失,以較低者為準。銀行在任何情況下應無須就任何間接、特別或相應而生的損失或損害賠償對客戶負上法律責任。

11. 費用

11.1 客戶同意支付銀行就提供互聯網服務而不時告知客戶的收費(包括有關提供任何數碼證書的收費)。此等收費是額外於銀行不時就某類銀行或其他服務而收取的任何收費。

11.2 客戶授權銀行可從客戶的任何賬戶扣除為提供互聯網服務的任何收費。

12. 資料的披露

12.1 客戶授權銀行可將有關客戶與銀行的銀行業務關係及任何賬戶的任何資料向以下各方披露:

(a) 在世界各地銀行的任何分行辦事處、銀行所屬公司集團的任何成員(「集團成員」)、銀行集團成員的任何附屬公司或聯繫公司或上述各人士所聘用在其正常業務運作中向其提供服務的代理人;

(b) 其他銀行、財務機構、個人信貸提供者、信貸局、信用卡及付款卡公司、收數公司、信貸調查機構、警方、其他執法機構、政府及其他監管機構(包括香港、台灣、及其他銀行認為適合的地方);

(c) 銀行的所有或任何部分資產或業務的任何實際或建議承讓人、受讓人或繼承人;

(d) 就互聯網服務或銀行業務的運作向銀行提供服務的任何代理人、承辦商或第三方服務提供者(包括香港、台灣、及其他銀行認為適合的地方)。

雙方同意上述披露不得構成違反銀行的保密責任。

12.2 在不影響第12.1條的原則下,客戶(不論是個人、公司或其他人士)同意受個人資料(私隱)條例通知(客戶已收到該通知)的條款及條件所約束,並同意銀行可以該個人資料(私隱)條例通知所指明的方式使用與客戶有關的個人資料以及同意該個人資料(私隱)條例通知的條文應普遍適用於銀行對有關客戶的個人資料或信息的處理方法。若客戶並非個人,客戶須確保在就操作及使用互聯網服務而與銀行進行交易時,有責任或可能有責任提供其個人資料予銀行的所有獲授權人士均已閱讀、明白及同意個人資料(私隱)條例通知的條文。

13. 聯名賬戶、獨資經營者或合夥經營

13.1 如客戶由多於一人所構成,每位該等人士須就一切交易負上共同及各別責任,而本條款及條件應對每位該等人士具約束力。

13.2 如客戶為商行(不論屬獨資經營或合夥經營),

(a) 客戶及獨資經營者/合夥人及目前或隨後任何時間以有關商行名義經營業務的人士須就一切交易負上共同及各別的責任,而本條款及條件對客戶及每位該等人士具約束力;

(b) 客戶應立即以書面通知銀行任何以下的更改:(i) 客戶的組織章程或成員(無論是因成員退休、去世、破產或有新成員加入);或 (ii) 商行名稱;除非銀行明確同意,否則儘管有任何如此的變更,客戶、獨資經營者或構成客戶的所有合夥人須繼續就一切交易及在本條款及條件下的其他方面負上責任。

14. 終止

14.1 任何一方均可向另一方發出不少於30天通知而終止本條款及條件。

14.2 若任何一方嚴重違反本條款及條件或根據任何適用司法管轄區的法律變成無償債能力,則另一方亦可向其發出通知,即時終止本條款及條件。

14.3 在本條款及條件終止之時,互聯網服務應停止向客戶提供及銀行應停止按任何指示行事。

14.4 有關終止將不會影響任何一方直至終止之日所應得的權利及補救措施,亦不會影響擬在終止後亦應適用的本條款及條件的任何條文(包括第10條)。

14.5 在本條款及條件因任何理由終止之時,第8.1條所述數碼證書的特許亦應終止。於終止起計七天內,客戶及獲授權人士必須向銀行交回由客戶及/或獲授權人士所持有的所有數碼證書並且清除在客戶及/或獲授權人士的電腦上該等數碼證書的所有記憶體(如有)。客戶必須確保客戶或任何獲授權人士、僱員、代理人或代表不會於本條款及條件終止之時或之後作出任何將導致互聯網服務或任何其他互聯網客戶的系統或保安受到削弱的事宜。

14.6 在本條款及條件終止之時,為了使其涵義及效力生效而需於本條款及條件終止後仍繼續存在的本條款及條件的所有條文,應仍具十足效力及作用。即使本條款及條件終止,若涉及仍須繼續履行或執行的任何義務或責任,各方須繼續受本條款及條件約束。

15. 通知

15.1 在不影響本條款及條件任何其他條文的原則下,由銀行所發出的任何通知,如以客戶為收件人並以客戶不時以書面告知銀行的地址為收件地址或以銀行的紀錄上顯示為客戶最後為銀行所知的地址為收件地址,則應當作已被有效送達。任何親自交付的通知在交付之時應當作已被有效送達。以預付郵費的信件送交的任何通知,(i) 如地址在香港,則在投寄之後48小時當作已被有效送達或 (ii) 如地址在香港境外 (包括中華人民共和國),則在投寄之後7日應當作已被有效送達,即使被郵局退回亦然。以圖文傳真發送的任何通知在傳送之時應當作已被有效送達。銀行亦可透過在銀行的香港分行的大堂、銀行的網站<http://www.taishinbank.com.tw/b2b/>或銀行所操作的自動櫃員機(如有)上展示有關通知,以知會客戶。

15.2 給予銀行的任何通知應以書面形式並由客戶或他人代表客戶正式簽署,但須按照其就有關賬戶而言在當時生效的授權書及/或銀行所訂明的該等其他文件中的簽字式樣。客戶的通知應以銀行為收件人並以銀行的主要營業地點或當時經銀行所選定並告知客戶位於香港的其他辦事處或分行為收件地址交付予銀行,以及只有在銀行實際收到該通知後方應當作已被接收。

16. 雜項

16.1 本條款及條件對客戶及客戶的遺囑執行人、遺產管理人及繼承人具約束力,儘管客戶或任何該等繼承人在成員身分或組織章程上有任何更改,而在不限制前述各項的前提下,本條款及條件不得因任何一方去世、破產或退休或因任何商行如上文所述在組織上有任何其他更改而被終止或受影響。

16.2 銀行延期或押後行使任何權利或補救措施不得當作銀行放棄該權利或補救措施,而任何權利或補救措施的單次或部分行使並不妨礙進一步行使該權利或補救措施。客戶與銀行之間的交易過程或在一次或一次以上的情況下銀行放棄行使任何權利或補救措施不得當作在任何其他情況下亦放棄行使。銀行的權利及補救措施應持續有十足效力及作用,直至銀行以書面明確修改或表示放棄為止。

16.3 本條款及條件任何條文如屬無效,則只應在該無效的範圍內無效力,而不得影響其餘條款及條件的有效性。

17. 修訂

銀行可隨時修訂本條款及條件(包括影響費用及收費的條款及條件),但須給予客戶有關修訂的30日事先通知(除非該修訂並非銀行所能控制範圍之內)。如銀行按其合理判斷,認為以書面通知客戶並不切實可行,則在本條下的通知若在銀行在其香港分行及/或網站連續展示30日後,應當作已正式發給客戶。如客戶在該30日限期之後繼續接達及使用互聯網服務,客戶應當作已接納並同意有關修訂。

18. 管轄法律

18.1 本條款及條件受香港法律管限,並按香港法律解釋,而就本條款及條件所引致或相關的任何訴案、法律行動或法律程序而言,雙方同意服從香港法院的非專有司法管轄權。

18.2 本條款及條件的英文與中文版本如有任何抵觸,就各方面而言,一概以英文版本為準。

Hong Kong Branch INTERNET BANKING TERMS AND CONDITIONS

Please read these Terms and Conditions carefully and make sure that you understand them.

1. DEFINITIONS

1.1 In these Terms and Conditions, unless the context otherwise requires, the following expressions shall have the following meanings:-

"Authorized Person" means, in relation to a Customer, any person(s) who are authorized by that Customer from time to time to have access to and use Internet Service and to give Instructions;

"Bank" means Taishin International Bank Co., Ltd., which expression shall include its successors and assigns;

"Customer" means any person who has agreed to these Terms and Conditions;

"Digital Certificate" means, in relation to any Customer, a digital certificate, whether incorporated in a Ikey, smart card or otherwise, provided by the Bank to that Customer for the purpose of confirming that Customer's identity or other significant characteristics and to enable that Customer to gain access to Internet Service and/or to give Instructions;

"Dynamic Password" means, one time password, which is unique and will not be repeated, generated in accordance with special arithmetic calculation through the sim card installed in OTP Token.

"OTP Token" means the dynamic password device for generating Dynamic Password.

"Hong Kong" means the Hong Kong Special Administrative Region of the People's Republic of China;

"Instruction" means any request or instruction given by the Customer and received by the Bank through the internet;

"Internet Service" means the internet banking service offered by the Bank from time to time through the internet or the Bank's website;

"PDPO Notice" means the Bank's Notice to Customers and other Persons relating to the Personal Data (Privacy) Ordinance circulated by the Bank to its customers and other persons from time to time;

"PIN" means any confidential password, phrase, code or number or any other identification designated by the Bank and/or selected by the Customer (including any User ID) which allows the Customer access to Internet Service and/or to give Instructions;

"Terms and Conditions" means these Internet Banking Terms and Conditions;

"Transaction" means any transaction resulting from effecting an Instruction;

"User ID" means the user short name designated (whether by the Bank or the Customer) for use in connection with Internet Service.

1.2 Unless the context otherwise requires:

(a) words importing one gender include the other genders;

(b) words importing the singular shall include the plural and vice versa;

(c) references to Clauses are references to clauses in these Terms and Conditions;

(d) references to documents (including these Terms and Conditions) include the same as from time to time amended, supplemented and substituted;

(e) clause and other headings are for ease of reference only and shall not affect the interpretation of these Terms and Conditions;

(f) the word "person" includes any individual, company, firm, partnership, joint venture, association, sole proprietorship or other incorporated or unincorporated entity and its legal representatives, executors, administrators, committee, receiver or other persons lawfully acting on behalf of such person; and

(g) "including" and "includes" mean respectively "including without limitation" and "includes without limitation".

2. INTERNET SERVICE

2.1 These Terms and Conditions shall govern the use of Internet Service by the Customer.

2.2 In addition to these Terms and Conditions, the Bank's General Terms and Conditions for Deposit Services and other terms and conditions governing the Bank's services and products from time to time shall also apply to Internet Service. If there is any conflict between these Terms and Conditions, General Terms and Conditions for Deposit Services and such other terms and conditions governing the Bank's services and products, these Terms and Conditions shall prevail.

2.3 The provision of Internet Service shall be at the sole discretion of the Bank. Internet Service shall only become available after the Bank has notified the Customer in writing of the Bank's acceptance of the Customer's application for Internet Service. The Customer may access Internet Service and give Instructions to the Bank by using the PIN and/or Dynamic Password and/or the Digital Certificate.

2.4 The Customer shall maintain at its own cost suitable computer equipment, software and a connection to the internet to gain access to Internet Service. The Customer is responsible for all telephone, internet service and other charges incurred as a result of the Customer's use of Internet Service.

2.5 The Bank may offer such facilities and services through Internet Service as it shall from time to time determine. The Bank may prescribe additional conditions or terms in connection with such facilities or services. Such additional conditions or terms shall not be effective until the Bank has notified the Customer of them in accordance with Clause 17.

2.6 The Bank may at its discretion and without prior notice revoke, suspend or terminate the right of the Customer to use Internet Service or refuse to act on any Instruction given to it, although the Bank will, within a reasonable time thereafter, give reasons to the Customer for such revocation, suspension, termination or refusal.

2.7 The Customer may appoint one or more Authorized Persons to have access to and use Internet Service on its behalf and, if it has appointed an Authorized Person, shall procure that such Authorized Person shall comply in all respects with these Terms and Conditions.

3. INSTRUCTIONS

3.1 The Customer requests and authorizes the Bank to rely upon and act in accordance with any Instruction which may from time to time be, or purport to be, given by the Customer or its Authorized Person through the use of Internet Service. The Bank is entitled to treat all Instructions as valid and duly authorized by the Customer and the Bank shall not be obliged to check the authority or identity of the person giving or purporting to give such Instructions or the authenticity of such Instructions.

3.2 All Instructions, once given, shall be binding on the Customer.

3.3 The Customer is responsible for the accuracy and completeness of Instructions and for ensuring that they will achieve the Customer's intended purpose. The Bank is not liable for any loss or delay where the contents of an Instruction are inaccurate or incomplete.

3.4 If the Customer requests the Bank to cancel or modify any Instruction, the Bank will make all reasonable efforts to comply with the Customer's request. However, the Bank is not liable for any failure to cancel or modify the Instruction if such request is received at a time or under such circumstances that, in the reasonable opinion of the Bank, the Bank is unable to comply with such an Instruction.

3.5 Without prejudice to Clause 2.6, the Bank may, in its absolute discretion and without liability, refuse to act on or delay acting on an Instruction if:

(a) the person giving or purporting to give the Instruction fails to produce or quote such information as the Bank may require, including the production of the relevant Digital Certificate and/or the quoting of the relevant PIN and/or Dynamic Password;

(b) it is a request or instruction which, if implemented, would result in a limit imposed by the Bank upon the Customer generally or fixed by the Customer being exceeded;

(c) the Bank knows of or suspects a breach of security in connection with the operation of one or more of the Customer's accounts or Internet Service generally; or

(d) the Bank has terminated these Terms and Conditions pursuant to Clause 14.

3.6 If the Bank does not act, or delays acting, on an Instruction pursuant to Clause 3.5, the Bank will notify the Customer of such inaction or delay as soon as reasonably practicable.

3.7 The Customer acknowledges that an Instruction may not always be processed and effected simultaneously with the time when it was given. Some Instructions may take time to process and certain Instructions may only be processed during normal banking hours even though Internet Service is available online and may be accessible outside such hours.

3.8 The Bank is entitled to debit the Customer's accounts, wherever situate, with any amounts that the Bank has paid or incurred in accordance with an Instruction.

4. SECURITY

4.1 The Customer shall keep, and shall procure its Authorized Person to keep, its Digital Certificate as well as OTP Token secure and its PIN confidential at all times and shall be responsible for any accidental, intentional or unintentional use or disclosure of its Digital Certificate, OTP Token or PIN. The Customer shall act in good faith and exercise all due care and attention to prevent the loss of and/or use of its Digital Certificate and/or OTP Token and/or PIN by any unauthorized third party.

4.2 In particular, the Customer shall:-

(a) not disclose its PIN to any person or allow its Digital Certificate and/or PIN and/or OTP Token to be used by any person other than the Customer and its Authorized Person;

(b) change the PIN provided by the Bank to a self-selected PIN in accordance with the Bank's instruction immediately upon receipt of the initial PIN advice from the Bank;

(c) memorize the PIN and destroy any notice from the Bank concerning the PIN promptly;

(d) never write down or record its PIN so that it can be understood and used by someone else not authorized by the Customer;

(e) change the PIN on a regular basis;

(f) avoid using readily accessible personal data such as the Customer's personal telephone number, birthday, identification document number or a recognisable part of the name of the Customer as the PIN;

(g) avoid using a secret identification code which is the same as or similar to the PIN for accessing other similar services;

(h) take appropriate steps to prevent unauthorized access to its Digital Certificate, OTP Token and PIN (for example, by ensuring that its OTP Token is put in safe custody and its PIN is not seen by anyone or monitored by closed circuit TV and not allowing anyone to identify the keys the Customer or an Authorized Person presses while logging on with its PIN and/or Digital Certificate);

(i) inform the Bank immediately if the Customer or an Authorized Person believes that an unauthorized third party may know or have had access to its PIN and/or Digital Certificate and/or OTP Token or that any Digital Certificate or OTP Token has been lost; and

(j) never record its PIN on any software which retains it automatically (for example, any prompts, "save password" features or the like on any internet browser).

4.3 Once the Customer, whether itself or by an Authorized Person, has logged on to Internet Service or the Bank's website, the Customer must not at any time leave the internet terminal from which the Customer has accessed Internet Service or the Bank's website or let anyone else use the internet terminal, without first logging off Internet Service or the Bank's website. The Customer will be responsible for ensuring that each Authorized Person has logged off Internet Service or the Bank's website at the end of each session.

4.4 Subject to Clause 9, the Customer agrees that the Customer shall be responsible for all Transactions involving the use of its Digital Certificate and/or OTP Token and/or PIN by any person whether or not authorized by the Customer. The Customer acknowledges that there is a risk of the Digital Certificate and/or OTP Token and/or the PIN being abused by other persons or used for unauthorized purposes and agrees to bear all such risk.

4.5 The Customer shall notify the Bank immediately upon notice or suspicion of

(i) its Digital Certificate and/or OTP Token and/or PIN being lost or compromised or disclosed to or otherwise obtained by any unauthorized person or

(ii) any unauthorized Instruction given or unauthorized Transaction effected with its Digital Certificate and/or OTP Token and/or PIN. Such notification shall be made by reporting to the Bank in person or by telephone at such telephone number as the Bank may from time to time prescribe. The Customer agrees to comply immediately with all reasonable requests for assistance by the Bank and/or the police in trying to recover any losses or identify actual or potential breaches of security.

4.6 Any Digital Certificate or PIN shall remain effective until changed by the Customer or cancelled by the Bank.

4.7 If the Customer suspects any impropriety on the part of any Authorized Person in connection with Internet Service or an Authorized Person leaves the Customer's business or employment or the Customer decides to revoke the authority of an Authorized Person to have access to Internet Service, the Customer must immediately take all necessary steps to ensure that such Authorized Person is no longer able to access Internet Service.

4.8 The Customer is responsible for the security of any Digital Certificates held in the memory of the Customer's computers or otherwise held by the Customer or held in the memory of the computers of any Authorized Person or otherwise held by such Authorized Person. The Customer and its Authorized Person must ensure that no Digital Certificates can be accessed or tampered with by any unauthorized third party. In particular the Customer must ensure that Digital Certificates are removed from the memory of any of the Customer's computers which leave the Customer's possession or the possession of the Customer's Authorized Person at any time, even temporarily. Further, neither the Customer nor any Authorized Person may use any Digital Certificate other than for the purposes of identifying the Customer to the Bank and must not transmit or otherwise send any Digital Certificate to any party other than to the Bank.

4.9 The Customer agrees that the Customer is solely responsible for the performance and protection of any browser used in connection with Internet Service including the prompt adoption by the Customer of all security patches and other security measures issued or recommended from time to time by the suppliers of such browsers.

4.10 The Customer agrees to keep the Bank indemnified against all actions, proceedings, costs, loss and damage of any kind which the Bank may suffer as a result of the Bank acting on any Instruction in accordance with these Terms and Conditions, or as a result of the Customer's failure to comply with the Customer's duties under this Clause 4 and the other provisions of these Terms and Conditions.

5. FUND TRANSFER

5.1 Instructions involving the transfer of funds between accounts, or between any account of the Customer and another account of the Customer or of an account of any third party with the Bank or with other banks will only be accepted if all necessary arrangements are established and agreed by the Bank and subject to such limits and conditions as the Bank may prescribe from time to time. Any fund transfer Instruction will usually be processed within the same day if it is given before the Bank’s prescribed daily cut-off time for processing fund transfers and the Bank has a reasonable opportunity to act upon it, or otherwise on the next banking day.

5.2 No transfer of funds using Internet Service is permitted unless there are sufficient funds or credit available in the relevant account, unless the Bank otherwise agrees. If a transfer is made without sufficient funds or available credit in the relevant account to cover the relevant payment, the Customer shall repay to the Bank immediately on demand the amount overdrawn or transferred in excess of available funds or credit together with interest at the rate charged by the Bank from time to time on unarranged overdraft facilities with the Bank. The interest rate from time to time applicable to unauthorized overdraft facilities is specified in a schedule of charges and/or interest published by the Bank from time to time and will be made available to the Customer upon request.

6. SERVICE INTERRUPTION

The Bank may suspend any service provided to the Customer under Internet Service without notice and liability where the Bank considers it necessary or advisable to do so, including if there is a suspected breach of security or if the Bank needs to suspend Internet Service for maintenance or other reasons. If it becomes necessary to suspend Internet Service for maintenance or in circumstances where the Bank considers it necessary to do so, the Bank will in so far as is reasonably practicable provide the Customer with a reasonable period of notice prior to such suspension.

7. ACCURACY OF INFORMATION

The Bank will endeavour to ensure that any information provided to the Customer through Internet Service is an accurate reflection of the information contained in the Bank's computer systems or, where the information is provided by a third party, accurately reflects the information the Bank receives from that third party. Due to the nature of the service and circumstances which may be beyond the Bank's control, the Bank gives no warranty or representation that any information provided through Internet Service is accurate or error free. The Customer acknowledges that any reliance or use of such information by the Customer will be at the Customer's own risk.

8. DIGITAL CERTIFICATE

8.1 The Bank grants the Customer a non-exclusive, non-transferable licence to use Digital Certificates on the internet browsers of the Customer or of the Customer's Authorized Person. Title to and rights in the Digital Certificates belong to the Bank and, except for the specific rights granted to the Customer by this licence, neither the Customer nor any of its Authorized Persons will acquire any rights whatsoever to the Digital Certificates, which will remain the property of the Bank at all times.

8.2 The Customer will make all reasonable efforts to ensure that any Digital Certificate that the Bank provides to the Customer will perform so as to permit access to Internet Service as and when required. The Customer or its Authorized Person will notify the Bank immediately if any Digital Certificate fails to function correctly.

8.3 The Bank shall have no liability for breach of any implied term as to satisfactory quality, merchantability or fitness for purpose of any Digital Certificate.

8.4 The Bank shall not be liable for any damage to or reduction in the performance of the Customer's or its Authorized Person's computer systems or any part thereof by the installation and/or use of any Digital Certificate.

9. LIABILITY OF CUSTOMER AND RISKS

9.1 The Bank will take reasonably practicable steps to ensure that its systems in connection with Internet Service are installed with adequate security designs and to control and manage the risks in operating the systems, taking into account any law, rules, regulations, guidelines, circulars, codes of conduct and prevailing market practice which may be applicable to the Bank from time to time.

9.2 If, in the reasonable opinion of the Bank, there is no negligence, fraud or fault on the part of the Customer, the Customer will not be liable for any direct loss suffered by the Customer as a result of any unauthorized Transaction caused by a computer crime or system error which should have been prevented by the risk control and management measures had the Bank adopted such measures in accordance with Clause 9.1.

9.3 The Customer shall not be liable for any direct loss suffered by it as a result of unauthorized Transactions if the Customer has not acted fraudulently or with negligence and the Customer has taken all reasonable steps to comply with the security provisions in Clause 4 and its duties and obligations under these Terms and Conditions.

9.4 In case the communication mode of the contact person of the Customer (e.g. the mode relating to the Bank's communication with the Customer via mail or e-mail), the address of the contact person of the Customer (e.g. including address for mail and e-mail), or the telephone number of the contact person of the Customer (mobile phone and the telephone contact) changes, the Customer shall notify the Bank for updating the relevant information.

9.5 The Customer acknowledges and accepts all the risks associated with giving instructions or directions via the Internet Service. These risks include, without limitation, the risks that the Customer will be exposed to the instability or failure of the software or hardware of the Internet Service. As a result, the Customer instructions or directions may not be executed accurately or in a timely manner. In particular, the Customer acknowledges and accepts that, if the Customer gives instructions or directions via the Internet Service to transfer or pay money from the Customer’s accounts with the Bank to any bank accounts which are not pre-registered with the Bank (the “Unregistered Accounts”), then, to the extent permitted by law, the Bank shall not be liable to any loss or damage suffered or sustained by the Customer arising out of or in connection with the event that the transfers or payments are not effectively made to the Unregistered Accounts in accordance with the Customer’s instructions or directions so given.

10. LIMITATION OF LIABILITY

10.1 Without prejudice to other provisions of these Terms and Conditions and to the extent permitted by law, the Bank shall not be liable to the Customer or any other person:-

(a) for any delay or failure to act upon Instructions unless such delay or failure arises from the wilful default or negligence of the Bank;

(b) if the Customer is unable to gain access to the Bank's website or otherwise to operate and use Internet Service for reasons beyond the reasonable control of the Bank including any failure or malfunction of any individual computer or computer system, terminal, telecommunication network, electrical system, internet service provider, software or other system providing access to the internet or internet services or any other temporary suspension of Internet Service;

(c) in respect of any incorrect representation of Internet Service or other information on the Customer's screen, arising from the Customer's equipment, software or connection;

(d) in respect of any unauthorized interception, corruption or loss of any Instruction or data contained in any Instruction unless the same results from the wilful default or negligence of the Bank;

(e) for any loss or damage arising from the unauthorized use of any Digital Certificates unless caused by the Bank's negligence or wilful default;

(f) in respect of any computer virus or similar problem affecting the Bank's website or computer system, beyond the Bank's reasonable control;

(g) for any unauthorized "hacking" or other computer crime perpetrated upon the Bank's website or computer system, if the Bank has taken reasonable steps to guard against the same;

(h) any other acts or circumstances beyond the Bank's reasonable control; and

(i) any act or failure to act by any service providers, financial institutions or other third parties beyond the Bank's reasonable control.

10.2 Subject to other provisions of these Terms and Conditions, the Bank’s liability (if any) to the Customer in respect of any Transaction shall be limited to the amount of that Transaction or the actual loss suffered by the Customer, whichever is the lower. The Bank shall in no circumstances be liable to the Customer for any indirect, special or consequential loss or damages.

11. FEES

11.1 The Customer agrees to pay such charges (including charges relating to the provision of any Digital Certificate) for providing Internet Service as the Bank may advise the Customer from time to time. These charges are in addition to any charges for particular banking or other services which the Bank may charge from time to time.

11.2 The Customer authorizes the Bank to debit any of the Customer's accounts with any charges for providing Internet Service.

12. DISCLOSURE OF INFORMATION

12.1 The Customer authorizes the Bank to disclose any information regarding the Customer’s banking relationship with the Bank and any account to :

(a) any branch office of the Bank, any member of the group of companies ("Bank Group Member") to which the Bank belongs, anywhere in the world, any subsidiary or affiliate of Bank Group Members or their agents engaged to provide services to them in their normal course of business;

(b) other banks, financial institutions, consumer credit grantors, credit bureaux, credit and payment card companies, debt collection agencies, credit reference agencies, police, other law enforcement agencies, governmental and other regulatory authorities (including Hong Kong, Taiwan and in such other locations the Bank considers appropriate) ;

(c) any actual or proposed transferee, assignee or successor of all or any part of the assets or business of the Bank;

(d) any agent, contractor or third party service provider (including Hong Kong, Taiwan and in such other locations the Bank considers appropriate) which provides services to the Bank in connection with the operation of Internet Service or the Bank's business.

It is agreed that such disclosure shall not constitute a violation of the Bank’s obligations of confidentiality.

12.2 Without prejudice to Clause 12.1, the Customer (whether an individual, a company or otherwise) agrees to be bound by the terms and conditions in the PDPO Notice, a copy of which the Customer has received and to the use of personal data or information about the Customer in the manner specified in the PDPO Notice, and agrees that the provisions of the PDPO Notice shall apply generally to the Bank’s treatment of personal data or information about the Customer. If the Customer is not an individual, it shall ensure that all Authorized Persons, who in the course of their dealings with the Bank with respect to the operation and use of Internet Service are or may be obliged to provide their personal data to the Bank have read, understood and agreed to the provisions of the PDPO Notice.

13. JOINT ACCOUNTS, SOLE PROPRIETORSHIPS OR PARTNERSHIPS

13.1 If the Customer shall consist of more than one person, each and every such person shall be jointly and severally responsible for all Transactions and these Terms and Conditions shall be binding on each and every such person.

13.2 If the Customer is a firm (whether a sole proprietorship or a partnership),

(a) the Customer and the sole proprietor/partners and persons carrying on business in the name of the firm concerned now or at any time hereafter shall be jointly and severally liable in respect of all Transactions and these Terms and Conditions shall be binding on the Customer and each and every such person;

(b) the Customer shall immediately advise the Bank in writing of any change

(i) in the constitution or membership of the Customer (whether by retirement, death, bankruptcy or admission of new parties); or

(ii) in the name of the firm; unless the Bank expressly agrees, the Customer, the sole proprietor or all the partners constituting the Customer shall continue to be liable in respect of all Transactions and otherwise under these Terms and Conditions irrespective of any such change.

14. TERMINATION

14.1 Either party may terminate these Terms and Conditions by not less than 30 days' notice to the other party.

14.2 Either party may also terminate these Terms and Conditions with immediate effect by notice to the other, if the other party commits a material breach of these Terms and Conditions or becomes insolvent under the laws of any applicable jurisdiction.

14.3 Upon termination of these Terms and Conditions, Internet Service shall cease to be available to the Customer and the Bank shall cease to act on any Instruction.

14.4 Termination will not affect the rights and remedies of either party accrued to the date of termination nor will it affect any provision of these Terms and Conditions (including Clause 10) which is intended to apply after termination.

14.5 Upon termination of these Terms and Conditions for any reason, the Digital Certificate licence referred to in Clause 8.1 shall terminate. Within seven days of termination the Customer and the Authorized Person(s) must return to the Bank all Digital Certificates held by the Customer and/or the Authorized Person(s) and remove all memories (if any) of such Digital Certificates on the Customer’s and/or the Authorized Person(s)’s computers. The Customer must ensure that neither the Customer nor any Authorized Person, employees, agents or representatives do anything on or after termination of these Terms and Conditions which will result in the security of Internet Service or the systems or security of any other internet customers being compromised.

14.6 Upon termination of these Terms and Conditions, all provisions of these Terms and Conditions which in order to give effect to their meaning and effect need to survive termination of these Terms and Conditions, shall remain in full force and effect. Notwithstanding termination, each party shall continue to be bound by these Terms and Conditions to the extent that they relate to any obligations or liabilities which remain to be performed or discharged.

15. NOTICES

15.1 Without prejudice to any other provisions of these Terms and Conditions, any notice issued by the Bank shall be deemed to have been validly served if addressed to the Customer at the address for notices notified to the Bank in writing by the Customer from time to time or which appears in the Bank's records as the Customer's last known address. Any notice delivered personally shall be deemed to have been validly served at time of delivery. Any notice dispatched by letter postage prepaid shall be deemed to have been validly served

(i) 48 hours after posting, if the address is in Hong Kong or

(ii) 7 days after posting, if the address is outside Hong Kong (including the People's Republic of China), its return by the post office notwithstanding. Any notice sent by facsimile shall be deemed to have been validly served at the time of transmission. The Bank may also give notice to the Customer by displaying such notice at the banking halls of the Bank's branch offices in Hong Kong, at the Bank's website or on the automated teller machines (if any) operated by the Bank.

15.2 Any notice to the Bank shall be in writing and duly signed by or on behalf of the Customer using the specimen signature(s) in its current mandate and/or such other equivalent documents prescribed by the Bank and for the time being in effect in respect of the relevant accounts. Notices from the Customer shall be addressed and delivered to the Bank at its principal place of business or such other offices or branches in Hong Kong for the time being selected by the Bank and notified to the Customer and shall be deemed to have been received only upon actual receipt by the Bank.

16. MISCELLANEOUS

16.1 These Terms and Conditions shall be binding on the Customer and the Customer's executors, administrators and successors notwithstanding any change in the membership or constitution of the Customer or any such successors and, without limiting the foregoing, shall not be terminated or affected by the death, bankruptcy or retirement of any parties or by any other change in the composition of any firm as aforesaid.

16.2 Any forbearance or delay by the Bank in exercising any right or remedy shall not be deemed to be a waiver of such right or remedy, and any single or partial exercise of any right or remedy shall not preclude further exercise thereof. No course of dealing between the Customer and the Bank nor any waiver in any one or more instances shall be deemed a waiver in any other instance. The Bank's rights and remedies shall continue in full force and effect until they are specifically amended or waived in writing by the Bank.

16.3 Any provision in these Terms and Conditions which is invalid shall be ineffective only to the extent of such invalidity and shall not affect the validity of the remaining Terms and Conditions.

17. AMENDMENT

The Bank may amend these Terms and Conditions (including the terms and conditions affecting fees and charges) at any time, subject to giving the Customer 30 days’ prior notice (unless such amendment is not within the Bank’s control) of the relevant amendment. If the Bank, in its reasonable opinion, considers that it is not practicable to notify the Customer by written notice, notice under this clause shall be deemed to be duly given to the Customer by the display of such notice at its branch offices in Hong Kong and/or on its website for 30 consecutive days. The Customer shall be deemed to have accepted and consented to the relevant amendment if the Customer continues to access and utilize Internet Service after such 30-day period.

18. GOVERNING LAW

18.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of Hong Kong and the parties agree to submit to the non-exclusive jurisdiction of the courts of Hong Kong in connection with any suit, action or proceeding arising out of or in connection with these Terms and Conditions.

18.2 If there is any conflict between the English and Chinese versions of these Terms and Conditions, the English version shall prevail for all purposes.
